Access to Private Market Opportunities

Built for Permissioned Participation

TrancheBook is a secure, compliance-forward platform designed to help eligible participants engage with private market transactions in a structured, transparent way. We support two primary journeys:

  • Shareholders seeking liquidity (employees, founders, early investors)
  • Qualified investors seeking access to curated private market opportunities

Because private securities are regulated and often subject to company restrictions, access is permissioned—meaning you only see what you're eligible to view and only transact when a transfer is allowed.

Who Can Use TrancheBook

For Shareholders

If you hold shares in a private company, TrancheBook helps you explore liquidity in a guided workflow that respects:

  • Company transfer policies and approval processes (where required)
  • Lockups, vesting, and other restrictions
  • Jurisdictional and regulatory constraints

What you get: a centralized place to verify eligibility, submit a sell request, track status, and complete documentation.

For Investors

Access is designed for qualified / eligible investors (definitions vary by jurisdiction). Investors can request access to opportunities based on:

  • Eligibility verification (as required)
  • Jurisdiction and compliance rules
  • Deal-specific requirements (e.g., minimums, transferability)

What you get: vetted access, clear documentation, and a structured path from interest to close.

How Access Works

1. Create an Account

Start with basic account setup and security. You'll be asked to provide only what's necessary to establish identity and eligibility.

2. Complete Verification

To protect all participants and meet regulatory obligations, users complete verification steps that may include:

  • Identity verification (KYC)
  • Eligibility status checks (where required)
  • Entity verification for institutional accounts
  • Screening consistent with applicable compliance standards

Privacy note: We use a "minimum necessary" approach—collecting and retaining only what's required to operate safely and lawfully.

3. Request Access to Opportunities

Once verified, you can:

  • Investors: request access to specific opportunities and receive deal materials when approved
  • Shareholders: submit share details and transferability information to begin a liquidity request

Access is granted on a need-to-know basis using role-based permissions.

4. Review Materials and Confirm Terms

Approved participants can review transaction terms and required disclosures. This includes:

  • Key risk considerations
  • Transfer and settlement requirements
  • Required acknowledgments and agreements

5. Close with a Clear, Trackable Workflow

We provide a single place to manage the closing process, including:

  • Document execution
  • Transfer approvals (when applicable)
  • Settlement milestones and confirmations
  • A record of completed activity for your dashboard

What You'll See (and What You Won't)

You will see:

  • Opportunities you are eligible to access
  • Clear next steps and required actions
  • A status tracker for each transaction

You won't see:

  • Proprietary pricing methods, counterparty logic, or internal workflows
  • Any private information about other participants
  • Opportunities you're not permitted to view

Security & Trust by Design

We take security seriously and apply multiple layers of protection, including:

  • Role-based access controls
  • Encryption in transit and at rest
  • Audit-ready activity logging
  • Secure document handling and permissions

Important Notes

  • Private securities are high-risk and often illiquid.
  • Not all shares are transferable; company policies and legal restrictions may apply.
  • TrancheBook does not guarantee liquidity, pricing, or transaction completion.
